I am looking at getting a Dell Studio Laptop that comes with 3gb of RAM with Windows Home Premium 64 Bit.
Will this be sufficient enough to run ? Or do I need more?

Also, it comes with the free upgrade to Windows 7 64 Bit, and will the 3gb of RAM be enough to handle this ?

Any thoughts?

3GB is plenty for vista64 (it may not be enough for some 64-bit programs running on vista64, but these are still rather rare). As for windows 7...it uses less memory than Vista, so 3GB will be even better once you do the upgrade.
