Was thinking about upgrading to AMD Phenom II X4 940 3 GHz what would be your advice?
Much difference between 2.2GHz ansd 3GHz?

Going from 2.2 to 3.0 would be a good boost by itself...going from a dual core to a quad core will be a bigger boost to most new applications and games.
Just make sure you mainboard supports it; some AM2 mainboards can accept newer chips, most cannot.
