AVI to VCD : Not Clear, very bad quality!

Well, i tried everything i could. The VCDs just aren't clear. I make AVI movies in 3D Studio Max of Animations. Size 352 X 288, Intel Video 5.04 Codec, Non-Interlaced.
They are clear at that. Once i convert them into Standard Pal Format through TMPGEnc, they always come out bad quality. Not very clear, not sharp.. somewhat hazy/distorted.
I had some MPEG Movie clips. Once i burned them 2 VCD, they worked Fine. Just Perfect. But my Digital Animations never do!!!
Can anyone help me out..
