I just d/led TMPGEnc 2.01 and there seems to be 2 versions of the VideoCD(PAL) templates, VideoCD(PAL).mcf and VideoCD(1246kbps).mcf . Which one should I use to produce better quality???

Use the VideoCD(PAL) as it gives you 100% VCD compliant results, other one is for experimental tests.
