Hello,
I have been converted a movie from Divx to VCD format with its subtitle via TMPGEnc.
Now, when i will make a video-cd with Nero Burning Tool, it tries to Encode the file before burning proccess, and it takes about 20 minutes per each CD.
How i can solve this problem?

It may do this if the mpg is not VCD compliant.
It includes the bitrate and resolution.

Consider trying vcdeasy for vcd/svcd
