combine srt and avi then compress it

    hi guys,what software used to combine srt and AVI to a single file?
    then if i want to compress it,lets take an example of 700MB AVI file to 300MB AVI, which video and audio codec i must use,i have tried use XviD codec for video and mpeg layer3 for audio,but there's a delay on the video(the sound is faster than video)

    can somebody help me??
