I'm converting a bunch of 640x480 Divx avi's to 512x??? Xvid avi's because I really don't need the high res and just need 512 for good TV quality... I was wondering if it makes sense to do Divx to Xvid and if so will there be any complications, or should I just stick with Divx to Divx?

I used AutoGK.... vid went well... but the audio sync was WAY off... I mean like 20 secs off... I don't know why, maybe because it was recompressing mp3 audio...

No real reason why you need to recompress the audio.

Yeah.. I didn't think so... but the original audio was 192kbs CBR, so that's what I set it to in AutoGK... maybe I should just use the "Original Audio" setting and it will just keep it in 192kbs?
