free mpeg/video editing software?

    I need software to do the following:
    Resize the video
    Change the audio sampling rate

    Thats all I need it to do. Exporting/Outputting as flv, avi or mpeg preferably. Inputting as flv or mpeg preferably.
    Anything out there worthwhile?
