How do i get TMPGEnc to encode the sound. somtimes the mpeg-1 comes out fine with video and sound all there. is it possible that its the bit rate of the original divx file or is there a setting i'm missing????

This has been covered various times in our forums -- the audio is very likely in compressed format that TMPGEnc can't open. If it is in MP3, you can decode it to WAV by using VirtualDub and if it is in AC3, you need to use GraphEdit to separate the AC3 from AVI and demux it with some tool like HeadAChe. Use the search feature before posting, people get tired of reading same questions all over again, ok?
