here is a converter that will work, its ment for psp but that doesn't make a difference, it does the conversion fine to mp4,(however its slow, but free)
    it's called PSPVIDEO9
    http://www.pspvideo9.com/

here- the link below is a program you must buy, however it's very good and has a dozen different type of mp4 files you can convert to, and its fast

now you also said it wouldn't play, you may be having a codec issue,
this is a codec pack download it-unzip-install-enjoy
    http://www.free-codecs.com/download/XP_Codec_Pack.htm

to play an mp4 in windows media player you must have the option selected in the options area, thumb around you'll find it, iy's like file types or some option like that,

and if you still cant play mp4 files then get quicktime, it plays Mp4 its the main file its ment to support
    quicktime- http://www.apple.com/quicktime/

Thanks. I have tried psp9, 3gp, xcopy pro, womble, and super. I have all the codecs but for some reason there are about 1/5th the fideos that will not convert. Actually, in my output folder I have the--now, I am relying on memory here--mnv0001.mpg file and a .thm as well on the details view there are some with the file size of 0kb! After searching the files that did not convert--given the terrible naming system thus not making it easy to identify--I tried those files under different programs--it did not work. I just cant figure it out.
