while trying to Convert "Back by Midnight" to Divx Avi. using anything to convert I get a "No Sample audio Found" and end up with blank spots in the Audio while the movie is going. Is there a work around? using DVDx23 and #1dvdripper?

What are you working from - a DVD?
You don't really 'convert' to AVI, you must encode to AVI (MPEG4) using GordianKnot for example
    http://www.afterdawn.com/software/video_software/video_encoders/gordian_knot.cfm
The encode usually runs in 2 passes.
Anyway, I don't know your source but you will get AC3 or WAV (LPCM) from a DVD. Your audio could be these, or MP2, or VBR/CBR MP3...?
If you are not muxing the AC3 directly into your AVI, you must work from a WAV file (which is 'full-size', uncompressed).
Other formats, especially VBR MP3, can cause difficulties ;^(
    Hope this helps,
    Regards
