Nero Digital is an H.264/AVC codec that is used with Nero Recode to convert videos and dvds to .mp4 format. Most people use this or x264(which is free, but is command line only)to encode high defenition videos to small sizes, and it is the codec that is used in Blu-ray and HD-DVD's, and can give you great quality at low bit rates. It is a very handy tool if you have a lot of videos and you want to save some space on your HD. If you have a working copy of Nero Recode then you do not have to pay extra.
