I keep getting this error, "Stats file not found", so i think
the first pass DOES NOT create a stats file. So, what to do when the first pass doesn't make a statsfile in VirtualDub with the xvid codec?

Can I make one with notepad, or is there some example, anywhere, I can modify?
    thanks.

No you can't create one, it contains the results of the first pass
    analysis.
Have you looked on the harddrive for a file called video.pass ?
That will be the file you need.

To try and fix it properly, open up the xvid config and set it to
encoding type / two pass 1st pass and hit the "more" button to the right.
Make sure the stats file name is .\video.pass
Do the same check on the encoding type /two pass 2nd pass.
