yes it will. a good idea is to always look at the specs page. it tells you there what is and isn't compatible.
to be honest since that motherboard can handle a core2duo i would spend the extra money and get one. http://www.newegg.com/Product/Product.asp?Item=N82E16819115004 The Pentium D looks more powerfull with the 2.66GHz but in reality the core2duo would outperform it.
